Corporate Governance


One of the most important pillars of Fibra Plus's value generation strategy is its corporate governance, which is the guarantor of the way in which the investment decisions, necessary to develop the portfolio in time and form are made and executed, as well as the process in which the construction works are carried out and the properties are managed and commercialized.

We have an experienced Technical Committee, made up of people with successful careers in various sectors, recognition and a reputation built through impeccable performance, which gives Fibra Plus a broad outlook, vision and experience for a timely and effective decision making.

The committee is composed of fourteen members, of which 28% are independent; likewise, the rest of the members were appointed by the control group and the investors that have relevant holdings due to their holdings of CBFIs in circulation, in accordance with the stipulations of the same trust.

The Committees that support the Technical Committee in the analysis and decision-making are:

  • Nomination Committee; responsible for the nomination of Independent Members for their participation in the Technical Committee, and, if necessary, in another of the committees.
  • Practices Committee; focused on resolving conflicts of interest that may arise as well as the adoption of management policies.
  • Compensation Committee; It is responsible for making recommendations on compensation, human resource development and executive retention.
  • Audit Committee; its objective is the review and approval of operational and financial information.

He is an Industrial Physics Engineer, graduated with honours from the TEC of Monterrey. His professional activity was enriched by a MOT (Managment on Technology) at MIT Sloan School of Management, and by a Multinational MBA at Adolfo Ibañez School of Management, in Miami, Florida as well as continuing education at world-renowned educational institutions such as Harvard Business School, in which, he is currently studying a postgraduate course in Real Estate.

His professional development has been mainly creating companies in the construction industry and materials manufacturing, until the most recent incursion in the sector of financial institutions.

He is an active member of the Council of the Technological Institute of Higher Studies of Monterrey and the Eugenio Garza Lagüera Entrepreneurship Institute. He also collaborates since 2012 as a director of Grupo Financiero Banorte.

His career as a businessman began in 2000 in the textile companies of his family. In 2005, he began to develop his private equity investment business, forming Davinci Capital, where he currently has companies that range from renewable energies such as Solartec, to IT companies, auto parts, food and construction materials such as Alucomex.

In 2009 he ventures into the real estate development business with the company Némesis Capital, developing the Elite Residence and Capitolio brands as well as the Commercial Centers and Industrial Parks division, currently with more than 3 million m2 built and under construction.

Since 2011, he has been the CEO of Valores Aldabra, a private equity fund focused on industrial and financial services projects. Likewise, since January 2015, he is the general director of the National Real Estate Bureau, a real estate agency specialized in hotels, warehouses and commercial plazas in Mexico and in the southern United States of America. Prior to this position, he was General Manager of Stabilit Mexico from 2007 to 2011. He participates in various boards of directors, among which are Empaques Moldeados de América where he serves as Chairman of the Board, Banco Bancrea where he is Vice Chairman of the Board, Afore InverCap, Cuprum Group, Commercial Serviacero and Parque Fundidora. Previously, he was chairman of the board of CINTERMEX and of COMCE Noreste. Previously he was commercial manager of IMSA Acero from 2004 to 2007 and commercial manager of Enertec Mexico from 2001 to 2004. Between the years of 1996 to 1998 he began his professional career at Cemex where he participated in various corporate areas. He is an administrator mechanical engineer from ITESM and holds an MBA from Stanford University.

In the academic field he was a part-time professor in various matters related to the fiscal area at the Instituto Tecnológico Autónomo de México (ITAM) from 1985 to 2015. Between 1995 and 1996 he served as a member of the Tax Advisory Council on Property Tax of the Treasury of the Federal District and between 2013 and 2014 it was part of the Training Group of the Tax Administration System. He is also a member of the Mexican Institute of Public Accountants A.C. and of the International Fiscal Association (IFA), Grupo México. He is a Public Accountant for the Autonomous Technological Institute of Mexico (ITAM). He also studied Law Degree at the National Autonomous University of Mexico. Antonio Braun has a degree in Economics from the Ibero-American University of Mexico City and a Master in Business Administration from the Instituto de Empresa de Madrid. He has more than 25 years of professional experience in the financial sector, holding various senior management positions in international banks, both at home and abroad. He currently serves as the General Director of Cordillera Consultores, a financial advisory firm specializing in diversified investment portfolios.

Bachelor of Business Administration with more than 25 years of professional experience. He is currently director of operations of Grupo Gigante, having under his responsibility Gigante Grupo Inmobiliario, The Home Store, Petco and Shared Services Unit. As CEO of Gigante Grupo Inmobiliario he is responsible for Miyana, an important development in Polanco, in Mexico City. It is also leading the renewal of the new image of The Home Store, as well as the promotion and generation of new high value projects for the company. He is a member of the board of directors of the National Association of Self-Service Stores (ANTAD), vice president of the Association of Real Estate Developers (ADI), member of the Board of the National Institute of Medical Sciences and Nutrition Salvador Zubirán, as well as other important organizations and companies such as Presidente Hotels and A & L. He has a degree in business administration from the Universidad Iberoamericana and an MBA from the University of Tulane.

Mr. Arroyo serves as Assistant General Director of Farmacias Guadalajara S.A. of C.V. He joined the company in December 2003. Mr. Arroyo also serves as a director on the Board of Directors of Corporativo Fragua, S.A.B. de C.V., on the board of the Chamber of Commerce of Guadalajara and on the Regional Council of Banco BBVA Bancomer. Likewise, he is an active member of the Eugenio Garza Laguera Entrepreneurship Institute and the David Rockefeller Fellow for Mexico. He has a degree in administration and finance from the Monterrey Institute of Technology and Higher Education, a certificate in financial economics from the UBC (University of British Columbia) and an MBA in business administration from the Moore School of Business.

Mr. Coppel serves as Chief Merchandise Officer and regional director of Mexico City and the Coppel Stores metropolitan area. In addition to his duties within the Coppel Group operation and being a shareholder thereof, he is an active member of the Executive Committee of Group Directors. He is also a member of the Boards of Directors of Coppel Group, Afore Coppel, BanCoppel Bank, Coppel Stores, Coppel Argentina Stores and Coppel Brazil Stores. Additionally, he is a member of the Board of Directors of Bonobos in New York, United States of America and heads several new businesses related to digital strategies among others. He is an industrial and systems engineer from the Monterrey Institute of Technology and Higher Education (ITESM) and holds an MBA from the Pan American Institute of Senior Business Management (IPADE).

The Msc. Silva de Anzorena is currently the general director of the National Housing Commission (CONAVI) where she is responsible for implementing the Policy and the National Housing Program of the Government of the Republic. Previously, she worked at Sociedad Hipotecaria Federal (SHF) where she held various positions, being the last as Deputy General Director of Market Development and Development. Among the activities carried out in Sociedad Hipotecaria Federal are the development of mortgage-backed bonds (BORHIS), implementation of the Danish mortgage securitization model among others. He also worked on the project for the modernization of public property registries and was responsible for receiving the credits obtained from the World Bank, IDB, IFC for the financing of housing in Mexico. Previously, she worked in the National Commission of the Retirement Savings System where she was Director of Risk Management in the first instance and later served as Director of Stock Exchange Supervision. Prior to this experience, she was Founding Partner of Grupo Financiero IXE, where she was responsible for the Group's exchange and futures operations, as well as Founding Partner and Deputy Director of Investments of Afore XXI. He began his professional career at Nacional Financiera. She has a degree in Business Administration from the Instituto Tecnológico Autónomo de México (ITAM) where she received an Honorable Mention and later obtained a Master's Degree in International Management. He has taught several subjects in both Bachelor and Masters in ITAM, where he has also coordinated the Diploma in Banking, Credit and Risk Management.

He has participated in the development of DaVinci Capital, Némesis Capital and Signature Capital since its foundation. Mr. Ramírez is a Certified Public Accountant. He has been an independent professional in tax and financial auditing and consulting for more than 28 years. He was a founding partner of the representative firm in Mexico of Baker Tilly International (formerly Summit International), since 1990, participating in both on their boards. He graduated 1988 from the Technological Institute of Higher Studies of Monterrey in Public Accounting with honors. Member and advisor of various private, educational, business and professional institutions.

Tiendas Neto started operations in 2009, and currently allows 10 million customers per month to have access to basic satisfiers of optimum quality, in the best market conditions, with an excellent service provided by its more than 4,000 employees, which directly affects about the welfare of the communities. Hugo Salinas is the founder and owner of the Fulfilment Company, which for eight years has created quality furniture and furnishings for homes in Mexico, with increasing commercial success and profitability. Mr. Salinas Sada is also a member of the YPO-Young Presidents' Organization- an international grouping of young business leaders with prominent businesses.

Responsible for directing, organizing, planning and representing Afore Coppel, seeking at all times that the decisions are made for the benefit of workers Affiliated to this Afore and generate the best results for shareholders adhering at all times to the laws that regulate the Savings System for Retirement. He has more than 25 years of work experience, currently he has been with Afore Coppel for 12 years, where he is Managing Director of the Afore. Mauricio has a Bachelor's Degree in Accounting, a specialty in Senior Business Management from IPADE, as well as several refresher courses and specialization in Savings for Retirement.

Antonio Braun has a degree in Economics from the Ibero-American University of Mexico City and a Master in Business Administration from the Instituto de Empresa de Madrid. He has more than 25 years of professional experience in the financial sector, holding various senior management positions in international banks, both at home and abroad. He currently serves as the General Director of Cordillera Consultores, a financial advisory firm specializing in diversified investment portfolios.
